The Board of Statutory Auditors provides oversight on the compliance with law and the Company By-Laws and the application of the principles of correct administration.

The Board of Statutory Auditors, composed of three standing auditors and two alternate auditors, was appointed by the Shareholders’ Meeting of April 27, 2021 and will remain in office until the approval of the 2023 Annual Accounts.
As required by regulations, the By-Laws in force and the Corporate Governance Code for Listed Companies promoted by the Corporate Governance Committee established by Borsa Italiana S.p.A., Statutory Auditors must meet specific requirements of honourability, good professional standing and independence.

The Board of Statutory Auditors is elected by the Shareholders' Meeting, which also determines its remuneration. The appointment of the Board of Statutory Auditors is made on the basis of slates submitted by shareholders or groups of shareholders holding a shareholding at least equal to that required by the applicable statutory and regulatory provisions. The minority shareholders are reserved the election of one Statutory Auditor, who will serve as chair.
The Board of Statutory Auditors provides oversight on compliance with internal rules and regulations, as well as compliance with the principles of correct administration. It checks the adequacy of the administrative, organisational and accounting structure of the company and its functioning.
